Title: Panther. what ear and model?

Hello!

what ear and model i'got?
engine nr. w.350.c.6234. http://album.ee/node/18265459/50142191
frame nr.  x16906  http://album.ee/node/18265521/50142191
gearbox is a 4-gear  1939?         and i'know that the rear seat ,gasoline tank,front light, exhaust, and  front wheel mudguard are not original

I do not think that is the engine number.

I think what you must have is an immediately pre-war 'Model 30' or '350C' circa 1938-39.  The '350' indicates the engine capacity and the 'c' denotes coil ignition, which fits nicely with the Miller generator.
